FINANCIAL PERFORMANCE REPRESENTATIONS The FTC’s Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. Here we set forth certain historical financial performance representations in the tables further below, using the following definitions.

DEFINITIONS

a) Annual Gross Revenues - means the actual gross revenues derived by each franchisee for the 12 months previous to the survey as determined by franchisees royalty reports. b) Annual Gross Profit - means the actual gross revenues derived by each franchisee for the 12 months previous to the survey, less the cost of services sold, which includes credit card fees, 3D Upload and Floor Plan fees, the Technology/Syndication fee, Virtual Staging fees, Agent Transparent Background fees, 40% split on the Featured Agent Membership fees, Broker Team Leader fees, Curb Lead fees, Lender Network Advertising Program fees, Sales Tax and total Royalty paid, during the same period as determined by franchisees royalty reports. Cost of services does not include operating expenses such as insurance, online accounting software, labor, auto expenses, advertising, phone or internet service. c) Franchise Network - "Franchise Network" means the interdependent network composed of all HOMMATI® franchisees. d) Franchisee Benchmark Survey - refers to a survey that was sent out to all franchisees in our Franchise Network in October 2023 and the results of this survey in addition to the monthly Royalty Reports for the 12 months prior which were used to create this Financial Performance Representation. e) Full-Time Basis - – means those Franchise Outlets that reported in the survey they were operating at 40 or more hours per week. f) Operating Time Period - means the period of time that each franchisee had been operating and within the tier levels shown. g) Part-Time Basis - means those Franchise Outlets that reported in the survey they were operating at less than 40 hours per week. h) Royalty Report - means the automated electronic system in our franchise dashboard that totals the Monthly Gross Revenue from the billings each franchisee made in the month and then calculates the royalties payable by each franchisee. All billings for all jobs performed must be billed within you franchise dashboard and only within your dashboard.

BASIS AND ASSUMPTIONS

The financial information was prepared on a basis consistent with generally accepted accounting principles during the respective measurement periods. The information in this analysis has not been audited, it is based on actual historical financial data for the 12 months period prior to the survey as per the Royalty Report generated for those 12 months as well as the answers provided in a Franchisee Benchmark Survey that was conducted.

FRANCHISE NETWORK

We surveyed our Franchise Network in October 2023. At that time, we had 136 franchisees. Of those 136 franchisees, 127 franchisees (93.4%) completed the survey. Of those 127 franchisees, 49 franchises (38.6%) were not operating for the entire 12 months previous and were excluded from these tables. Of the 78 remaining franchisees (61.4%), 25 franchises (32.1%) reported they were operating on a Full-Time Basis and 53 franchisees (67.9%) reported they were operating on a Part-Time Basis. Table 1 reflects the Hommati Franchisees in our Franchise Network operating on a FullTime Basis.

MEET OUR FOUNDER

Our CEO and Founder is Jerry Clum. He has been an entrepreneur for most of his adult life. He has been in the franchise industry for 26 years. He was the Founder and CEO of Comfort Keepers. He and his team grew the company to over 750 franchised locations and $350 million in annual revenues. He has been a franchisee and owned a multi-brand portfolio of 11 franchises and consulted for many franchise systems. He has assisted more than 1,000 people in starting franchises.

Mr. Clum has been a speaker, is the author of "Zero to $100 Million in Five Years", he was selected as the "Entrepreneur of the Year" in 2004. He has a B.S. in Marketing and an MBA. He is engaged to DeLena Ciamacco who is one of the most successful Real Estate Agents in the United States.

STEPS TO OWNERSHIP

One of our FDM’s will contact you by phone and have a short conversation with you to answer any questions you have and to determine if you meet the minimum qualifications necessary to go to the next step. Hommati is very selective and less than 10% of candidates requesting information are selected to go to the next step.

Participate in a conference call with the CEO/Founder of Hommati, Jerry Clum. The conference call is a group call with typically 2-5 franchise candidates across the county. Mr. Clum will tell you the exciting story of why he created Hommati, why it is a franchise you should consider, and some of the benefits of being a franchise owner. If you have a spouse or partner, regardless whether they are going to be involved in the business or not, it would be beneficial to have them on this call.

After the conference call you will be sent an email with a link to the Hommati Franchise Application to fill out then take the EQ Test – Entrepreneurial Quotient Test and a personality profile questionnaire for business ownership. We will also do a background check consisting of criminal history, driving record and credit check. This is a soft inquiry, it will not affect your credit score. If you have some minor things in your background that you may be worried about, please understand we look at this as one piece of your overall qualifications. The only areas that would automatically disqualify you are a felony conviction, a major driving infraction, bankruptcy in the last seven years or, unless there is a unique situation, a FICO score under 650.

The FDM you spoke to in your previous call will reach out to you answer any additional question you may have and

Your next call with our CEO/Founder will be a one-on-one call and it will last 1 ½ - 2 hours. Mr. Clum will want to get to know you and your background a little better. He will go over your franchise application, EQ Score and your personality profile results. He will then do a deep dive into our business model and explain our Unique Selling Propositions, our marketing strategies, royalties and territory. If both you and Mr. Clum feels it is mutually beneficial to continue to the next step. If you have a spouse or partner, regardless whether they are going to be involved in the business or not, it would be beneficial to have them on this call.

You will be sent an email with a copy of our Franchise Disclosure Document for your review.

Once you receive the Franchise Disclosure Document, you do not need to print the entire document, but at least print the last page of the document. It is call the Receipt page. You will need to sign and date this document, scan it and return it. Please note, if you are married or have a business partner you will need to have anyone that might possibility be listed in the Franchise Agreement also sign this receipt page or we cannot later name them in the Franchise Agreement. Signing this document does not commit you to anything. It is simply an acknowledgement that you received a copy of the FDD.

If you have made it to this point in the evaluation process, you will be invited to attend a Discovery Day at Columbus, Ohio. We will pay for either 50% of one round trip air fare or 100% of your hotel stay. This is your opportunity to meet other franchise candidates, our support staff and learn more about the Hommati franchise model.

There is no specific agenda for this call. It is a one-on-one call with our CEO/Founder and it will give you an opportunity to ask any questions you may have about the FDD, the upcoming Discovery Day you will be scheduled to attend or any other questions you may have about Hommati.

About a week before you are scheduled to attend we will send you an executable franchise agreement. Executable simply means the blanks have been filled in. We do not want you to do anything with this document. We are simply sending it because we are required by franchise law to have given you an executable agreement no later than your first face to face visit.

This is one of the most exciting times in the evaluation process. You will come into our Franchise headquarters, meet other candidates like yourself who have made it to this point in our screening and evaluation process. You will meet the support staff and they will tell you their roles in supporting you in your franchise operation. We will take a deep dive into the Hommati model, explain the other profit centers and services we provide, allow you to look over the Hommati Operations manual, we will do show and tell on the equipment and divulge some of our most proprietary trade secrets. We do not, however, allow you to move forward. Many franchisors treat Discovery Day as “decision day” our CEO/Founder does not hold this same philosophy. He feels the day should be reserved for getting the final pieces of the puzzle so you can finalize your due diligence.

After you have completed Discovery Day, you will have a debriefing call with our CEO/Founder. This call he will inform you that the vetting is complete and let you know if Hommati has officially approved an award of our franchise and he will answer any other questions you may have.

This is when you will finalize your due diligence and reach out to existing franchisees via email and/or phone to do validation.

Once you have completed your due diligence and have decided Hommati is a good fit for you, you would execute your Franchise Agreement and wire the Franchise Fee. You will officially be a fellow Hommatian at this point.

You will be assigned a Franchise Support Manager who will assist you in your Virtual Start-up training. You will begin and complete most of your start-up checklist prior to attending training in Columbus, Ohio. You will get your entity set up, your business checking account, your equipment purchased, etc.

You will then attend training at Hommati University at our franchise headquarters. The training will be from Monday through Friday. We will go over Introduction, company history, HR, insurance, sales, marketing, presentation, drone training, UAV Part 107 drone license training, hands on 3D Camera training and the Franchise Dashboard.

Once you return from training, you will complete any remaining start-up items on your start-up checklist.

You are then ready to start operating your Hommati franchise.

You will be assigned one of our business coaches who will assist you through your first 90 days in business. You will also have access by phone and email to all of our other franchise support managers to ensure you will have all the help you need in operating your business.

Yes, you can, once we have completed our vetting process and you have attended our Discovery Day you will have unfettered access to all of our franchisees via phone and email and you may ask them any question you like.

Yes and No. Our preference is that you provide your full-time effort to your franchise at least for the first year of operation. However, if you are in a high paid position, over $100K per year, and you have an additional $25K+ in liquid capital available, you may be able to begin operating your business as an Executive Managed Model depending on the flexibility you have in your job. In an Executive Managed Model, you will need to immediately hire at least one staff member to become one of your 3D Drone Pilots. Agents will usually expect if they order your services that you will be able to get to their listing within 24-72 hours to perform those services. If you are keeping your existing job, you are unlikely going to be able to provide the services within the required time frame so you would need to hire someone that we will help train. If you will be working more than 40 hours a week and do not have much flexibility in the job you will be keeping, you may also need to hire an Agent Development Manager that we will help train, to do the sales & marketing for the business. Please understand that if you are currently earning less than $100K per year, it may not financially make sense to hire staff so you can keep your current job. In almost all cases, franchise owners who start their businesses themselves and then later transition to an Executive Managed Model will grow faster and they invest less money. If you have questions or concerns about whether you should leave your current position please feel free to discuss this with our CEO/Founder on one of your calls. He has helped more than 1,000 people start a franchise so he will most definitely be able to assist you further in this area.

Most franchisees start as an Owner Operator Model with no employees and then they transition to an Executive Managed Model in the first 12-24 months. At that point, they usually hire their first employee, usually a 3D Drone Pilot. We will help you train this person. They are responsible for doing the on-site services. In a 40-hour work week, they can typically accommodate as many as 15 Platinum Packages without going into overtime, depending on the travel time for those jobs. If you want to continue to scale up from there, you would hire a second 3D Drone Pilot. The next position you would likely hire is an Agent Development Manager. We will help you train this person. They are responsible for meeting with agents, educating them about your services and helping you build brand recognition in the market. We also have outside vendors you can use to do your photo and video editing. At that point, you would have 2-3 employees. You can then, if you desire, transition to a Passive Business Mode and hire a General Manager to take over the day-to-day responsibilities. That would bring your total employee count to 3-5 staff member. You can build a significant business with less than 3 employees.
